Terms & Conditions

We are Reecru Ltd (“Reecru”) incorporated in the UK under company number 11132033. These are our terms and conditions. They tell you what we do and how we do it.

By using our site, you indicate that you accept these terms and conditions, and the referenced policies, and that you agree to abide by them.

Definitions

Reecru operates a platform for connecting Employers, Independent Recruiters and Candidates.

Administration Fee

The fee payable by the Employer to Reecru when posting a Vacancy via the Marketplace. The fee is calculated depending upon the Recruitment Plan the Employer has chosen at the time of engagement on a Vacancy.

Account

By registering on Reecru.co.uk as an Employer, Recruiter or Candidate, you are creating an account, which will give you access to our platform and allow you to store and track activity on the Marketplace.

Agreement

The agreement between Reecru and you pursuant to which you make use of the Marketplace Services, the terms of which are set out in these Terms.

Candidate/s

A person either applying directly through our platform, or introduced by a Referrer or Independent Recruiter, to the Employer through the Marketplace Services, to be considered for a Vacancy.

Data Protection Laws

Data Protection Laws: The Data Protection Act 1998, any applicable statutory or regulatory provision and all European Directives and regulations in force from time to time relating to the protection and transfer of personal data.

Deadline Date

The date chosen by Employers for when the Job Post can be closed and all candidates are to be submitted by the Independent Recruiter.

Employer/s

Any person (whether an individual, limited company, a limited liability partnership, a sole trader, a partnership or any other person) that uses the Marketplace and Marketplace Services to post Vacancies with the view of employing Candidates.

Fixed Term Recruitment

Employment of a Candidate on a fixed term employment contract.

Independent Recruiter

Any person (whether an individual, limited company, a limited liability partnership, a sole trader, a partnership or any other person) who uses the Marketplace Services to screen, reject/forward and schedule interviews for Employers in respect of any open Vacancy.

Marketing Fee

The fee payable by the Employer to Reecru when posting a Vacancy via the Marketplace. This fee is non-refundable in all circumstances.

Marketplace

Means the marketplace contained within Our Site in which an Employer may post Vacancies to source Candidates with the help of Independent Recruiter’s whom may submit Candidates to open Vacancies.

Marketplace Services

The provision by Reecru of the Marketplace, as further described on Our Site from time to time.

Permanent Recruitment

Employment of a Candidate on a permanent employment contract.

Placement

Employment of a Candidate on behalf of an Employer following the screening of a Candidate by a Independent Recruiter via the Marketplace. The candidate may be under a contract for services or otherwise, and whether on a permanent or fixed term contract basis.

Rebate Period

The period of 60 days calculated by reference to the start date of a Candidate’s employment and the date of the Candidate’s termination of employment (as further detailed in these Terms), during which an Employer is entitled to a full or partial refund of the Administration Fee and Recruiter Fee.

Recruiter Fee

The fee payable by the Employer to to the Independent Recruiter (after incurring any Transaction Fees) when posting a Vacancy via the Marketplace. The Independent Recruiter is eligible for this fee only after successful Placement of a Candidate and the completion of a Rebate Period of 60 days.

Recruitment Plan

The different recruitment solutions Reecru offers to the Employer. These can be found listed on Reecru sales pages on Our Site.

Redeemable Credits

Transaction Fee

The fees incurred when collecting/transferring for when collecting from an Employer and transferring to a Independent Recruiter (or vice versa for Refunds), for the successful Placement of a Candidate after a Rebate Period of 60 days.

Transaction Fees are 1.4% + 20p for European Cards and 2.9% + 20p for Non-European Cards.

Screen/Screened Candidates

A Recruiter must gain a verbal or electronic commitment that a Candidate is happy to be put forward and considered for a Vacancy, and be represented by them as a Independent Recruiter, and that to the best of their knowledge they have not applied directly or via another recruitment agency for the same role. For Candidates applying via a job advert placed by the Employer on Our Site, their application is not sufficient to be considered as a Screened Candidate under these Terms. A Independent Recruiter must gain further verbal or electronic commitment following a Candidate applying for a job via a job advert posted by the Employer on Our Site.

Start Date

The date on which a Candidate commences employment, with an Employer following the acceptance by the Candidate of an offer of employment by an Employer.

Terms

These terms and conditions under which you may make use of the Marketplace Services.

Vacancy/Vacancies

A permanent or fixed term vacancy posted by the Employer on the Marketplace.

In these Terms words importing the singular shall include the plural and vice versa, and words importing the masculine gender shall include the feminine gender and vice versa.

The headings contained in these Terms are for convenience only and do not affect their interpretation.

In these Terms any reference to a statute, statutory provision or any subordinate legislation shall be construed as including a reference to that statute, provision or subordinate legislation as from time to time modified or consolidated, superseded, re-enacted or replaced.

Status

Nothing in these Terms will create a partnership or joint venture between Reecru and any other parties. We are an independent provider of services to you and are not employed by you.

Registration

In order to use the Marketplace Services, each Employer, Independent Recruiter and Candidate must register with on Our Site. We may accept or reject an application to register at our discretion, and may suspend or cancel such registration at any time if an Employer, Independent Recruiter or Candidate is in breach of these Terms.

Information Submitted by You

We will use information supplied by you (including, without limitation, sensitive personal data) to aid the recruitment process and associated administrative functions. This involves Reecru processing and storing information (including, without limitation, sensitive personal data) and passing or making available online such information to prospective Employers and Independent Recruiters. We use third parties to help us process your information as part of the recruitment process. We may collect and aggregate data from the information supplied by you to help us to understand our users as a group so that we can provide you with a better service. We may also share aggregate information with selected third parties, without disclosing individual names or identifying information. You consent to Reecru using information provided by you (including, without limitation, sensitive personal data) in each of these ways. We will process any data which you provide in completing the online registration or application forms and any further forms, assessments or personal details which you complete or provide to us when using the Website in accordance with UK data protection legislation. We explain more about your personal data in our Privacy Policy.

Transfer outside the EEA: Personal information comprising your CV may be accessed through the Reecru database by third parties outside the European Economic Area ("EEA"). This could happen for instance if you apply for a vacancy where the employer is based outside the EEA. By registering and using the Website, you consent to this transfer.

Content Rights

The rights in material on Our Site are protected by international copyright, software and trademark laws and you agree to use the Website in a way which does not infringe these rights. You may copy material on Our Site for your own private or domestic purposes, but no copying for any commercial or business use is permitted.

Security and Passwords

In order to register with Our Site and to sign in when you visit Our Site, you will need to use a user name and password. You are solely responsible for the security and proper use of your password, which should be kept confidential at all times and not disclosed to any other person. You must notify us immediately if you believe that your password is known to someone else or if it may be used in an unauthorised way. We accept no liability for any unauthorised or improper use or disclosure of any password.

Termination

We may terminate your registration and/or deny you access to Our Site or any part of it (including any services, goods or information available on or through Our Site) at any time in our absolute discretion and without any explanation or notification.

Liability

We accept no liability for any loss (whether direct or indirect, for loss of business, revenue or profits, wasted expenditure, corruption or destruction of data or for any other indirect or consequential loss whatsoever) arising from your use of Our Site and we hereby exclude any such liability, whether in contract, tort (including for negligence) or otherwise. We hereby exclude all representations, warranties and conditions relating to Our Site and your use of it to the maximum extent permitted by law.

You agree to indemnify us and keep us indemnified against all costs, expenses, claims, losses, liabilities or proceedings arising from use or misuse by you of Our Site.

You must notify us immediately if anyone makes or threatens to make any claim against you relating to your use of Our Site.

Choice of Law and Jurisdiction

The use of Our Site and any agreements entered into through Our Site are to be governed by and construed in accordance with English law. The courts of England are to have exclusive jurisdiction to settle any dispute arising out of or in connection with the use of Our Site or any agreement made through Our Site.

Some of the goods or services offered through Our Site may not be lawful or may otherwise not be permitted in certain countries outside the United Kingdom. If you attempt to order, receive, purchase or otherwise benefit from any such goods or services, we do not accept any liability for any losses suffered by you in using Our Site which you would not have suffered had you been accessing Our Site as a United Kingdom resident (including as a result of us being prevented from dealing with any application or enquiry by any law, regulation or other ruling applicable in any country).

Obligations of the Employer for Fixed Term or Permanent Recruitment

While using Reecru, you will not attempt to or otherwise do any of the following:

- Infringe any laws, third party rights or our policies, such as the Terms

- Circumvent or manipulate our fee structure, the billing process, or fees owed to Reecru

- Post false, inaccurate, misleading, deceptive, defamatory or offensive content (including personal information)

- Transfer your Employer account and Username to another party without our consent.

- Distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes.

- Distribute viruses or any other technologies that may harm Reecru, the Website, or the interests or property of Reecru users (including their Intellectual Property Rights, privacy and publicity rights) or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane or which may harass or cause distress or inconvenience to, or incite hatred of, any person

- Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with Our Site;

- Harvest or otherwise collect information about Users, including email addresses, without their consent.

The Employer agrees to notify Reecru immediately when an offer of employment has been accepted by a Candidate and the Joining Date has been confirmed, in order for Reecru to calculate the Rebate Period in line with Terms stated. The invoice created by the Marketplace is only valid when a Candidate start date has been input into the system.

The Employer agrees to confirm the suitability of any Candidate for the purposes of the Vacancy.

It is acknowledged by the Employer to check the truthfulness of a Candidates application and it is upon them to check (but not limited to) references, undertake any additional checks such as criminal record checks, validation of Candidate qualifications and ensure to ensure Candidate is capable of undertaking the requirements of the Vacancy.

The Employer shall be responsible for obtaining any work and other permits that is required by the Candidate and for ensuring that a Candidate satisfies any medical requirements or other qualifications that may be appropriate or required by law.

The Employer agrees that best practices for keeping confidential data found within the Marketplace, undisclosed, are to be used.

The Employer shall be responsible for the Administration Fee, Marketing Fee and Recruiter Fee (with respect to the chosen plan), if in the event a Candidate is forwarded to the Employer, whom is initially rejected but later employed by the Employer, within a six month period of the initial introduction.

The Employer shall be responsible for the Administration Fee, Marketing Fee and Recruiter Fee (with respect to the chosen plan), if in the event a Candidate is forwarded to another firm or corporation, including any subsidiary, associated organisation or holding company of the Employer, within a six month period of the initial introduction.

The Employer gives permission to Reecru for full disclosure of information regarding the Employer, which is provided to Reecru by the Employer, for Candidates and Independent Recruiters.

The Employer is entitled to a refund on the Administration Fee and Recruiter Fee in the event where a Independent Recruiter is unable to successfully complete the Placement of a Candidate 30 days (including non-working days) after the Deadline Date.

The Employer is entitled to a refund on the Administration Fee and Recruiter Fee in the event where a Candidate does not complete the Rebate Period, as stated in the terms below.

In the event where the Employer has previously received the CV of a Candidate whom has also applied to the same Vacancy via the Marketplace, if the Candidate is then successfully placed the Employer must provide evidence to support that the Candidate is initially applied directly to the Employer. In this instance, if the supported evidence proves that the Candidate initially applied to the same Vacancy directly or indirectly to the Employer, Reecru will refund the Administration Fee and Recruitment Fee.

The Employer agrees to notify Reecru immediately should a Independent Recruiter contact the Employer Directly, in the event of attempting to work around, avoid, circumvent or otherwise exploit the Marketplace Services on Our Site with the intent or effect of undercutting our Marketplace services, or depriving Reecru of due compensation of the Administration Fee, Marketing Fee and Recruiter Fee.

Reecru reserve the right to retain any Transaction Fees incurred when processing a refund at any instance.

The Employer agrees that Reecru will be used exclusively for each Vacancy posted through Our Site. If the Employer posts the Vacancy by using other intermediaries such as, but not limited to, other job boards, platforms or recruitment agencies, the Employer agrees that Reecru will offer no refunds and the Rebate Period will also become invalid.

Obligations of the Independent Recruiter for Fixed Term or Permanent Recruitment

While using Reecru, you will not attempt to or otherwise do any of the following:

- Infringe any laws, third party rights or our policies, such as the Terms

- Fail to deliver Independent Recruiter services purchased by the Employer

- Circumvent or manipulate our fee structure, the billing process, or fees owed to Reecru

- Post false, inaccurate, misleading, deceptive, defamatory or offensive content (including personal information)

- Transfer your Independent Recruiter account and Username to another party without our consent.

- Distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes.

- Distribute viruses or any other technologies that may harm Reecru, the Website, or the interests or property of Reecru users (including their Intellectual Property Rights, privacy and publicity rights) or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane or which may harass or cause distress or inconvenience to, or incite hatred of, any person

- Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with Our Site;

- Harvest or otherwise collect information about Users, including email addresses, without their consent.

- Use our CV database to place candidates for Vacancy’s not listed on our website.

- Directly contact Candidates using the Independent Recruiter’s own email address, all email communication must be done through the “Send Email” option found within the Marketplace.

- Directly contact Employers using the Independent Recruiter’s own communication methods, all communication must be done through the “Messages” system found within the Marketplace.

The Independent Recruiter will use the hiring requirements specification set out by the Employer for the Vacancy, to thoroughly filter, screen and interview Candidates.

The Independent Recruiter must get confirmation from a Candidate prior to being forwarded to ensure that they are willing to be put forward for the Vacancy listed.

The Independent Recruiter must make all CV submissions for any Vacancy listed on Our Site, through Our Site. Any actions that avoid or attempt to avoid Our Site and the Marketplace Services will result in Account Termination and all of the Account Information, Account Data and Account Reviews will be removed in this process. In the event of a termination, the Independent Recruiter will not be entitled to receive any pending Redeemable Credits.

The Independent Recruiter agrees to not attempt to work around, avoid, circumvent or otherwise exploit the Marketplace Services on Our Site with the intent or effect of undercutting our Marketplace services, or depriving Reecru of due compensation of the Administration Fee, Marketing Fee and Recruiter Fee.

The Independent Recruiter agrees that they shall not approach directly any Employers to whom they have been introduced by Us, engaged with on the Marketplace, or submitted any Candidate CVs or information to, for a period of 6 months after the introduction.

In the event a Independent Recruiter is found to have contacted an Employer, in the attempt to work around, avoid, circumvent or otherwise exploit the Marketplace Services on Our Site with the intent or effect of undercutting our Marketplace services, or depriving Reecru of due compensation of the Administration Fee, Marketing Fee and Recruiter Fee, the Independent Recruiter will be immediately suspended and if evidence of wrongdoing is found, will result in Account Termination and all of the Account Information, Account Data and Account Reviews will be removed in this process.

The Independent Recruiter agrees that if evidence of the attempt to work around, avoid, circumvent or otherwise exploit the Marketplace Services on Our Site with the intent or effect of undercutting our Marketplace services, or depriving Reecru of due compensation of the Administration Fee, Marketing Fee and Recruiter Fee is found, the Independent Recruiter will be liable to pay Reecru within 14 days of receipt of invoice any Commission that would have been due to Reecru had the Placement(s) the Independent Recruiter has made with that Employer taken place within Our Marketplace.

Recruiters are not permitted to register as an Employer in order to post Vacancies on Our Site.

Candidates are represented by the Independent Recruiter noted on the Marketplace, to submit the Candidate in question to the Employer, it must be processed through Our Site.

If a Independent Recruiter submits a Candidate for a Vacancy and the Candidate is employed by the Employer, the Recruiter may not be eligible for the Recruitment Fee in the event that the Employer has previously received that Candidate’s CV, or was aware of the Candidate through another source. The Employer is solely responsible for providing the proper evidence that the new engagement was not the result of the Recruiter’s submission, but rather of having received the CV previously. In the event of such a dispute, as a neutral party, we will investigate and based upon the available evidence make a determination on the source of the Candidate referral that led to the engagement, and therefore whether a Recruiter Fee shall be charged to the Employer. Our decision on this matter shall be final.

In the event where the Employer has previously received the CV of a Candidate whom has also applied to the same Vacancy via the Marketplace, if the Candidate is then successfully placed the Employer must provide evidence to support that the Candidate is initially applied directly to the Employer. In this instance, if the supported evidence proves that the Candidate initially applied to the same Vacancy directly or indirectly to the Employer, the Independent Recruiter will not be entitled to the Recruitment Fee.

In the event that a Candidate terminates employment, or the Employer lawfully terminates the employment within the Rebate Period the Independent Recruiter is not entitled to the Recruiter Fee.

The Independent Recruiter must adhere by best practices found in the dashboard within the FAQ

Obligations of the Candidate for Fixed Term or Permanent Recruitment

While using Reecru, you will not attempt to or otherwise do any of the following:

- Infringe any laws, third party rights or our policies, such as the Terms

- Circumvent or manipulate our fee structure, the billing process, or fees owed to Reecru

- Post false, inaccurate, misleading, deceptive, defamatory or offensive content (including personal information)

- Transfer your Candidate account and Username to another party without our consent.

- Distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes.

- Distribute viruses or any other technologies that may harm Reecru, the Website, or the interests or property of Reecru users (including their Intellectual Property Rights, privacy and publicity rights) or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane or which may harass or cause distress or inconvenience to, or incite hatred of, any person

- Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with Our Site;

- Harvest or otherwise collect information about Users, including email addresses, without their consent.

Recruitment Fee

Where a Candidate is forwarded by a Independent Recruiter via the Marketplace and is successfully appointed in a posted Vacancy, or within any other role within the Employers organisation(including any organisation within the Employers group), the Independent Recruiter is entitled to the Recruitment Fee incrementally, stated in the Rebate Period terms.

The first 50% of the Recruitment Fee will be released to the Recruiter, on the 35th day of the Rebate Period.

The final 50% of the Recruitment Fee will be released to the Recruiter, on the 65th day of the Rebate Period.

Once the 35th and 65th day of the Rebate Period have passed, the Recruitment Fee will be available in the Independent Recruiters account as Redeemable Credit.

For successful employment of a Candidate for a Vacancy through the Marketplace Services with the use of a Independent Recruiters services, the Independent Recruiter will be rewarded with the Recruitment Fee, which is Redeemable Credit to their account. Redeemable Credit must be requested to be withdrawn from the Reecru Marketplace. Once the Independent Recruiter has requested the funds Redeemable Credit to be withdrawn, it can take Reecru up to 14 working days to send this over to the Independent Recruiters account.

Reecru reserve the right to deduct the Administration Fee and Marketing Fee in the total fee, shown on our pricing pages on Our Site.

Rebate Period

The Rebate Period starts at the Candidate’s Joining Date. The length of the Rebate Period shall be 60 days (including non-working days). In the event that a Candidate terminates employment, or the Employer lawfully terminates the employment within the Rebate Period, the Employer shall be entitled to the Rebate provided that:

- The Employer notifies Reecru about either party terminating employment within 61 days (including non-working days) from the confirmation of the Joining Date of the Candidate via the Marketplace Services and Our Site.

- The Employer provides evidence of the termination.

- The termination is not as a result of redundancy, corporate restructuring, pregnancy, injury or ill health, or by reason of the Candidate’s age, race, gender, sexual orientation or disability.

- All other options are exhausted, e.g. Reecru will work with the Employer to ensure they can find another Candidate for Placement.

The Rebate Period is structured as follows:

In the event that a Candidate terminates employment, or the Employer lawfully terminates the employment within 30 days (including non-working days) of the Joining Date, provided the Employer has notified us within the 35th day of the Joining Date, the Employer is entitled to a 100% refund of the Recruiter Fee + Administration Fee.

In the event that a Candidate terminates employment, or the Employer lawfully terminates the employment within 60 days (including non-working days) of the Joining Date, provided the Employer has notified us within the 65th day of the Joining Date, the Employer is entitled to a 50% refund of the Recruiter Fee + Administration Fee.

The Rebate Period is subject to all other options such as (but not limited to), finding a replacement candidate have been exhausted.

Employer Plan Upgrade/Downgrade

An Employer may Upgrade/Downgrade their Recruitment Plan at any given time, however the pricing will be adjusted by Reecru on a case by case basis. To Upgrade/Downgrade your plan, please contact us on info@reecru.co.uk

Reecru reserves the right of final decision on Upgrade/Downgrading Recruitment Plans.
